Terms and Conditions

These Terms and Conditions (“Terms”) govern your access to and use of www.acetechnologies.com (the “Website”) and any staffing, recruitment, consulting or related services (collectively, “Services”) provided by Ace Technologies Inc. (“Ace,” “we,” “us,” or “our”). By visiting or using our Website and Services, you accept and agree to these Terms. If you do not agree, please do not use our Website or Services.

Definitions

  • Client: any individual or entity that engages Ace for Services.
  • Candidate: any individual who submits an application, resume or profile to Ace.
  • Candidate: any individual who submits an application, resume or profile to Ace.
  • Services: recruitment, candidate sourcing, screening, placement, payroll support, staff augmentation (on-site and offshore), hire-train-deploy models, build-operate-transfer engagements, and related consulting.
  • Privacy Policy: our separate policy describing how we collect, use, store and share personal data.
  • Cookie Policy: our separate policy detailing how we use cookies and similar technologies.

Eligibility & Account Registration

  1. You affirm you are at least 18 years old and have capacity to enter into these Terms.

Scope of Services

  1. Services are provided only upon execution of a written agreement specifying scope, deliverables and hourly rates.
  2. No placement or employment is guaranteed. All candidate submissions remain subject to Client approval and any credential or reference checks you elect to perform.
  3. Either party may terminate Services upon 30 days’ written notice. Ace reserves the right to suspend or terminate access to Services immediately for material breach or suspected fraud. Upon termination, all outstanding fees become immediately due. Any surviving obligations (e.g., confidentiality, indemnification) shall remain in effect.

Placement Guarantees

While Ace does not guarantee specific hiring outcomes, we may, at our discretion, offer a one-time candidate replacement within 30 days of placement if the candidate voluntarily leaves or is terminated for cause. Any such replacement is contingent on written approval and does not apply to fixed-term contracts or part-time placements.

Non-Solicitation and Non-Circumvention

  1. Clients may not hire or contract directly any Candidate introduced by Ace without first paying Ace’s hourly rate for all hours the Candidate works.
  2. Candidates may not bypass Ace’s portal or direct-hire processes to engage Clients independently.

Data Protection & Privacy

  1. We collect and process personal data in accordance with applicable data protection laws (including GDPR and CCPA). Our Privacy Policy will govern such data practices.
  2. Clients are solely responsible for conducting any background, criminal, or credit checks in compliance with applicable laws. Ace does not conduct FCRA-covered checks and shall not be liable for any failure by Clients to properly vet candidates.
  3. EEA Rights: If you are an EU/EEA resident, you may exercise rights to access, rectify, erase, restrict or port your data.
  4. International Transfers: Safeguarded by Standard Contractual Clauses or equivalent measures.

Intellectual Property

  1. All Website content, text, graphics, code, logos, reports and methodologies, is owned by Ace or its licensors.
  2. Candidate resumes mentioned on the website are put up by prior consent from the candidates and they are just meant to advertise them and our services in positive tone.
  3. You may view, download and print content for personal, non-commercial use only, keeping all proprietary notices intact.
  4. Any other use (reproduction, distribution, modification, deep-linking, framing) requires Ace’s prior written consent.

Confidentiality

Each party will keep confidential all non-public information disclosed by the other and use it only to perform under these Terms. Exclusions apply to information that is public, independently developed or received from a third party without breach.

Equal Employment Opportunity

Clients and Candidates must comply with all applicable anti-discrimination laws in the U.S. (Title VII, ADA, ADEA, etc.) and equivalent laws in other jurisdictions.

Insurance & Indemnification

  1. Ace maintains workers’ compensation, professional liability and errors & omissions insurance.
  2. You agree to indemnify and hold Ace, its officers, directors, employees and agents harmless from any claims, losses or expenses (including legal fees) arising from your negligence, breach of law or violation of these Terms.

Force Majeure

Neither party is liable for delays or failures due to causes beyond its reasonable control, including acts of God, war, terrorism, government action, labor disputes or network failures.

Assignment

You may not assign these Terms without Ace’s prior written consent. Ace may assign its rights and obligations in connection with a merger, sale or restructuring..

Notice is deemed received upon confirmation of delivery.

Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of California, USA. All disputes shall be resolved exclusively in the state or federal courts in Santa Clara County, California. EEA users may also lodge complaints with their local data protection authority or via the EU Online Dispute Resolution platform.

Severability & Entire Agreement

If any provision is held invalid or unenforceable, the remainder survives in full force. These Terms, together with your signed Service Agreement and our Privacy Policy, constitute the entire agreement and supersede all prior understandings.

Changes to These Terms

We may update these Terms at any time. Material changes will be notified on our Website or by email. Continued use after notification means you accept the revised Terms.
