These Terms of Use (“Terms”) govern your access to and use of the acetechnologies.com website, including its pages, forms, candidate profiles, and content (together, the “Website”). The Website is operated by ACE Technologies Inc. (“ACE”, “we”, “us” or “our”).

By accessing or using the Website, you (“User”, “you” or “your”) agree to be bound by these Terms and by our Privacy Policy. If you use the Website on behalf of a company or other legal entity, you confirm that you have the authority to accept these Terms on its behalf. If you do not agree with these Terms, please do not use the Website.

1. About ACE

ACE Technologies Inc. is a technology services company headquartered in San Jose, California. Through the Website we describe our Data & AI services, managed technology delivery, and technology talent solutions, and we invite businesses to contact us about them.

2. Using the Website

You may use the Website for lawful business purposes, such as learning about our services, evaluating candidate profiles, and contacting us. When using the Website, you agree not to:

  • Use the Website in any way that breaks any applicable law or regulation
  • Copy, scrape, harvest, or collect content or data from the Website by automated means (including bots, crawlers, or scripts) without our written permission
  • Submit false, misleading, or someone else’s information through our forms
  • Send spam, unsolicited advertising, or malicious code, or attempt to interfere with the security or normal operation of the Website
  • Try to gain unauthorized access to any part of the Website, its servers, or any connected systems
  • Use the Website or its content to compete with ACE, including to identify and recruit the candidates shown on it

We may restrict or block access to the Website for anyone who does not follow these Terms.

3. Information on the Website

The content on the Website is provided for general information about ACE and our services. We work to keep it accurate and up to date, but it may contain errors or become outdated, and we may change or remove it at any time without notice.

Nothing on the Website is a binding offer, quotation, or guarantee. Descriptions of service levels, timelines, pricing, trial periods, or guarantees are summaries only; the terms that apply to you are the ones set out in a written agreement signed with ACE.

4. Our services and agreements

These Terms cover the use of the Website only. Any services we provide — including project delivery, managed services, staffing, or the placement of candidates — are governed by a separate written agreement between your organization and ACE, such as a master services agreement, statement of work, or proposal. If anything in these Terms conflicts with a signed agreement, the signed agreement takes priority.

5. Candidate profiles

The Website may show profiles of technology professionals who are available to clients through ACE (“Candidates”). Candidate profiles are summaries prepared from information the Candidates provide. They are shown to help businesses evaluate potential talent for engagements arranged through ACE. In particular:

  • Profiles are provided for evaluation only and do not guarantee a Candidate’s availability, rate, or suitability for a specific role
  • We take reasonable care when preparing profiles, but we do not guarantee that every detail in a profile is complete or current; interviews and checks are part of our engagement process
  • Candidate names, photos, and profile details may be changed or anonymized, and profiles may be removed at any time
  • You may not copy, publish, or share Candidate profiles outside your organization, or use them for any purpose other than evaluating an engagement through ACE

6. Non-solicitation of candidates

Candidates shown on the Website are introduced to you by ACE. If you or your organization learn about a Candidate through the Website, you agree that, for twelve (12) months from the date you first viewed that Candidate’s profile or were introduced to that Candidate by ACE, you will not, directly or through any third party, hire, employ, contract with, or otherwise engage that Candidate except through ACE, unless ACE agrees in writing.

If you would like to engage a Candidate directly, for example on a permanent basis, please contact us. We offer models for this, such as conversion and Build-Operate-Transfer arrangements, and the applicable fees will be set out in a written agreement. Where a signed agreement between your organization and ACE contains its own non-solicitation or conversion terms, those terms apply instead of this section.

7. Enquiries and forms

When you submit a form on the Website — for example to book a discovery call, request candidate profiles, or hire a Candidate — you agree to provide accurate business contact information and confirm that you are authorized to share it. We use this information to respond to your enquiry as described in our Privacy Policy.

Submitting a form does not create a contract or oblige either party to proceed. Preferred dates and times you select are requests; we will confirm any meeting by email.

8. Intellectual property

The Website and its content — including text, graphics, page designs, logos, and the “ACE Technologies” name — are owned by or licensed to ACE and are protected by intellectual property laws. You may view and print pages for your own internal business use. You may not otherwise copy, reproduce, modify, distribute, or create derivative works from the Website or its content without our prior written permission.

Third-party names, logos, and trademarks shown on the Website (for example, technology platforms we work with) belong to their respective owners. Their appearance does not mean that those owners endorse or are affiliated with ACE, unless stated.

The Website may contain links to websites or resources operated by third parties. We provide these links for convenience only. We do not control and are not responsible for the content, policies, or practices of third-party websites, and a link does not mean we endorse them. Your use of any third-party website is at your own risk and subject to that website’s terms.

10. Disclaimer of warranties

To the fullest extent permitted by law, ACE disclaims all warranties, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. 11. Limitation of liability

To the fullest extent permitted by law, ACE and its officers, employees, and partners will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business opportunity, arising out of or in connection with your use of, or inability to use, the Website or its content, even if we have been advised of the possibility of such damages.

Nothing in these Terms limits liability that cannot be limited under applicable law. This section applies to your use of the Website only; liability for services is governed by your written agreement with ACE.

12. Indemnification

You agree to indemnify and hold harmless ACE and its officers, employees, and partners from any claims, losses, damages, and expenses (including reasonable legal fees) arising from your misuse of the Website or your breach of these Terms, including section 6.

13. Governing law and disputes

These Terms and any dispute arising out of or relating to them or to the Website are governed by the laws of the State of California, USA, without regard to its conflict-of-law rules. You agree that the state and federal courts located in Santa Clara County, California, will have exclusive jurisdiction over any such dispute, and you consent to the personal jurisdiction of those courts.

14. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the “last updated” date at the bottom of this page. Updated Terms take effect when they are posted. Your continued use of the Website after that date means you accept the updated Terms.

15. General

  • Severability. If any part of these Terms is found to be unenforceable, the remaining parts will continue in full effect, and the unenforceable part will be applied to the maximum extent permitted.
  • No waiver. If we do not enforce a provision of these Terms, that does not waive our right to enforce it later.
  • Assignment. We may transfer our rights and obligations under these Terms. You may not transfer yours without our written consent.
  • Entire agreement. These Terms and our Privacy Policy are the entire agreement between you and ACE about your use of the Website. Signed agreements for services remain separate and take priority as described in section 4.
